Terms and Conditions for Services
The Client is engaged in the business of education and/or entertainment and seeks to engage the Service Provider to deliver certain services, as outlined herein.
The Service Provider possesses the expertise and experience to provide such services.
In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
1. Scope of Services
- The Service Provider agrees to provide the following services to the Client:
school workshop - living history displays - Event entertainment. - Living history and Event bookings only, ) the Client agrees to advertise Time Jump Histories as a featured guest or participant via the Client’s website, posters, programmes, and social media platforms.
- Payment
- The Client agrees to pay the Service Provider fees for the services rendered.
- The Client agrees to pay the Service Provider's Travel & Accommodation Fees .
- Full payment must be made by bank transfer a minimum of a week prier of the booking date .
- A non-refundable deposit of 50% is required. If the Client cancels, this portion will not be refunded.
- The full balance must be paid within 10 days of receiving the invoice.
3. Term and Termination
- This agreement commences on the date of signing and shall remain in effect until the completion of services or until terminated by either party with 10 days’ written notice.
- Either party may terminate this agreement for cause if the other party fails to perform its obligations and does not cure such failure within 10 days after written notice is provided.
- Intellectual Property
- All materials and deliverables created by the Service Provider in connection with the services shall remain the property of the Service Provider.
- The Service Provider retains the right to use these materials for self-promotion and portfolio purposes, unless otherwise agreed in writing.
5. Confidentiality
- The Service Provider agrees to keep confidential any proprietary information received from the Client during the term of this agreement and shall not disclose such information to any third party without the Client’s prior written consent.
6. Indemnification
- The Service Provider agrees to indemnify and hold harmless the Client from any claims, damages, or liabilities arising out of the Service Provider’s performance of the services, except where such claims arise from the Client’s negligence or willful misconduct.
- The Client is fully responsible for the care of the Service Provider’s equipment while on the Client’s premises.
- If any equipment is damaged by the Client’s students, staff, or attendees, the Service Provider may invoice the Client for replacement costs plus a £30 + VAT administration fee.
7. Governing Law
- This agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
8. Entire Agreement
- This document constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter hereof.
9. Amendments
- Any amendments or modifications to this agreement must be made in writing and signed by both parties.
10 Travel & Accommodation Fees
- Travel costs are not included in the service fee unless otherwise stated in writing. The Client agrees to cover reasonable travel expenses incurred by the Service Provider in connection with the delivery of services, including but not limited to:
- Isle of Wight ferry costs (including passenger and/or vehicle fares) where travel to or from the mainland is required.
- Public transport fares, parking fees, and congestion or toll charges are applicable.
- Accommodation costs if an overnight stay is necessary due to distance or event timing.
- All travel and accommodation costs will be confirmed with the Client before the issue of the final invoice.
